By accessing or using the SpendGuard API ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
SpendGuard is a real-time authorization API for AI agent financial actions. The Service evaluates planned financial actions (refunds, credits, discounts, vendor payments) against user-defined policies and returns one of three decisions: allow, block, or escalate.
SpendGuard is an automated authorization service that evaluates financial actions against user-defined policies. The Service employs deterministic, rule-based logic as its primary decision engine, supplemented by an AI-assisted semantic classification layer for ambiguous inputs.
While SpendGuard is engineered with multiple safeguards — including deterministic rule evaluation, duplicate detection, and immutable audit logging — no automated system, including those incorporating artificial intelligence components, can guarantee 100% accuracy in all circumstances.
The AI-assisted semantic classification layer is designed to resolve ambiguous action types only and does not override rule-based decisions. However, as with any system involving automated classification, edge cases may arise where inputs are interpreted differently than intended.
SpendGuard is a decision-support and policy-enforcement tool. It is not a substitute for human judgment on high-value, high-risk, or unusual financial transactions. Customers are responsible for:

You agree to use the Service only for lawful purposes. You may not:
You are responsible for maintaining the security of your API key. SpendGuard stores only SHA-256 hashes of API keys — raw keys are never stored and cannot be retrieved after initial creation. You must notify us immediately if you suspect unauthorized use of your API key.
Plans are billed monthly via Stripe. The Free tier includes 1,000 checks per month at no cost. Paid plans (Pro and Growth) are charged monthly. Overages on the Pro plan are billed at $0.005 per check above the plan limit. Non-payment may result in service suspension.
SpendGuard provides the Service on a best-effort basis. We aim for high availability but do not guarantee uninterrupted service. We will make reasonable efforts to notify customers of planned maintenance windows in advance.
SpendGuard processes action metadata including amounts, action types, agent identifiers, and counterparty identifiers. We do NOT process or store financial account numbers, bank details, social security numbers, or personally identifiable information (PII). For full details, see our Privacy Policy.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
SPENDGUARD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL AUTHORIZATION DECISIONS WILL BE CORRECT IN EVERY CIRCUMSTANCE. THE DETERMINISTIC RULE ENGINE IS DESIGNED TO PRODUCE CONSISTENT RESULTS FOR IDENTICAL INPUTS, BUT THE OVERALL SYSTEM — INCLUDING NETWORK CONDITIONS, DATABASE AVAILABILITY, AND SEMANTIC CLASSIFICATION — INVOLVES COMPONENTS THAT MAY EXPERIENCE FAILURES OR PRODUCE UNEXPECTED RESULTS.
IN NO EVENT SHALL SPENDGUARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR FINANCIAL LOSSES ARISING FROM:
THE TOTAL LIABILITY OF SPENDGUARD FOR ANY CLAIMS ARISING FROM THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY THE CUSTOMER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Customers acknowledge that SpendGuard serves as one layer in a comprehensive financial control framework and agree to maintain appropriate additional safeguards commensurate with the risk profile of their financial operations.
Either party may terminate the Service at any time. SpendGuard may suspend or terminate access for violation of these terms or abuse of the Service. Upon termination, your API key will be deactivated. Audit log data will be retained per the applicable plan terms.
We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website. Continued use of the Service after changes constitutes acceptance of the updated terms.
These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.
